This Logo Design Agreement (“Agreement”) sets out the terms and conditions under which Z4Web (“Designer”, “we”, “us”, “our”) agrees to provide logo design services to the client (“Client”, “you”, “your”).
By placing an order for logo design services with Z4Web, the Client confirms that they have read, understood, and agreed to the following terms.
1. Scope of Services
Z4Web will provide professional logo design services based on the information, brief, style preferences, and materials supplied by the Client.
The service may include:
Initial consultation or brief review
Research and concept development
Creation of original logo concepts
Presentation of agreed concept(s)
Reasonable revisions (as outlined below)
Final approved logo supplied in standard digital file formats
Any work outside the agreed logo package or brief, including but not limited to additional concepts, extensive redesigns, brand strategy, business naming, social media branding, stationery, website graphics, print design, or other related services, will be quoted separately.
2. Client Brief and Responsibilities
The Client agrees to provide accurate and complete information before design work begins, including where relevant:
Business name and slogan/tagline (if applicable)
Industry or business type
Preferred colours, styles, fonts, or inspirations
Design preferences and dislikes
Intended use of the logo
Any required deadlines
The Client is solely responsible for ensuring that all text, names, tag-lines, spellings, and instructions provided are correct.
Z4Web will not be held liable for delays or additional charges resulting from incomplete, unclear, or changed instructions after work has commenced.
3. Design Process
Logo design is a creative service. While Z4Web will use professional skill, experience, and reasonable care to interpret the Client’s brief, design is inherently subjective.
The logo design process generally includes:
Review of the Client brief
Development of original design concept(s)
Submission of concept(s) to the Client
Revision stage based on Client feedback
Final approval and delivery of final files
All design work will be based on the original brief supplied at the time of order. Significant changes to the original brief after work has started may be treated as a new project or billed as additional work.
4. Revisions
The logo package includes reasonable revisions to the selected concept, provided such revisions remain within the original design brief.
A “revision” means a modification to an existing concept, such as:
Colour changes
Font changes
Minor layout adjustments
Small graphic refinements
The following are not considered revisions and may incur additional charges:
Requesting completely new concepts after concepts have been presented
Major changes to the design direction
Changing the business name, slogan, or core brief after work begins
Redesigning from scratch due to a change of mind unrelated to the original brief
Excessive amendment rounds beyond what is considered reasonable
If additional work is required beyond the included scope, the Client will be informed and quoted before further work proceeds.
5. Fees and Payment Terms
All logo design work must be secured by payment before design work begins unless otherwise agreed in writing.
Standard Payment Terms
A non-refundable deposit may be required before work commences, or
Full payment may be requested in advance depending on the package selected
Where a deposit arrangement is used:
The deposit secures the booking and covers time allocated, research, concept development, and administration
The remaining balance must be paid in full before final files are released
No final logo files, editable files, or transfer of rights will be provided until all outstanding balances have been paid in full.
Late or delayed payments may result in project delays.
6. Non-Refundable Design Work
Due to the time, research, creative effort, and intellectual work involved in custom design, all deposits and payments made toward logo design are non-refundable once work has commenced.
This includes, but is not limited to:
Consultation and planning time
Concept development
Design drafts
Revisions
Administrative time
If the Client chooses not to proceed after work has started, or becomes unresponsive, all amounts already paid remain non-refundable.
7. Cancellation and Client Inactivity
If the Client cancels the project after work has commenced:
Any payments already made will remain non-refundable
Z4Web reserves the right to invoice for any additional completed work beyond the value already paid, where applicable
If the Client becomes unresponsive for 30 days or more, the project may be placed on hold.
If there is no communication from the Client for 60 days or more, Z4Web reserves the right to treat the project as abandoned and close the file. Any fees already paid will be forfeited, and any restart may be subject to a new quote or reactivation fee.
8. Turnaround Times
Estimated turnaround times are provided as a guide only and may vary depending on:
The complexity of the brief
The speed of Client feedback
Current workload
Scope changes
Delays caused by missing information or approvals
Z4Web will make reasonable efforts to meet agreed timelines but shall not be liable for delays caused by factors outside our control, including Client delays.
Urgent or priority work may be subject to an express service fee where applicable.
9. Approval of Final Design
Once the Client approves the final logo design, that approval is deemed final.
It is the Client’s responsibility to carefully review all aspects of the approved design, including:
Spelling
Grammar
Layout
Colours
Symbol placement
Tagline or text usage
After final approval and/or final file delivery, any further changes requested will be treated as additional work and charged accordingly.
10. File Delivery
Upon full payment and final approval, Z4Web will provide the final logo in the file formats included within the selected package or as otherwise agreed.
Typical file formats may include:
PNG (transparent background where applicable)
JPG
SVG or vector format (if included in the package)
Other formats if specifically agreed
Editable source files will only be supplied where included in the purchased package or specifically stated in writing.
11. Copyright and Ownership
All preliminary concepts, drafts, mock-ups, unused designs, and working files remain the intellectual property of Z4Web unless expressly transferred in writing.
Upon receipt of full cleared payment, the Client is granted the right to use the final approved logo design for their business or agreed intended use.
Unless otherwise agreed in writing:
Ownership transfers only to the final approved logo design
Unused concepts and rejected drafts remain the property of Z4Web
Z4Web retains the right to display the completed work in its portfolio, website, marketing, and promotional materials unless a prior confidentiality agreement has been agreed in writing
The Client must not use, reproduce, edit, resell, or distribute any draft, rejected, or unpaid concept without written permission.
12. Fonts, Stock Elements, and Third-Party Assets
Where a logo design includes or is influenced by licensed fonts, stock vectors, icons, or other third-party assets (if used and where permitted), the following applies:
Z4Web will only use such assets in accordance with their licence terms
Some fonts or assets may require the Client to obtain their own commercial licence for certain future uses
Z4Web is not responsible for third-party licensing restrictions beyond the scope of the design service
Where possible, Z4Web aims to create original design work; however, the Client acknowledges that some elements such as typefaces may be commercially licensed and not exclusively owned by the Client.
13. Trademark and Legal Responsibility
Z4Web does not provide legal advice, trademark registration services, or guarantee that a logo is legally available for trademark, registration, or exclusive use in any jurisdiction.
The Client is solely responsible for:
Conducting trademark checks
Ensuring the business name is legally usable
Confirming the logo does not infringe existing rights in their market
Seeking professional legal advice where required
Z4Web shall not be liable for trademark disputes, registration refusal, legal claims, or losses arising from the Client’s use of the logo.
14. Limitation of Liability
Z4Web will provide services with reasonable skill and care. However, to the fullest extent permitted by law:
Z4Web shall not be liable for indirect, incidental, or consequential loss
Z4Web’s total liability under this Agreement shall not exceed the total amount paid by the Client for the logo design service in question
Z4Web shall not be liable for losses arising from delays, third-party services, printing errors, file misuse, unauthorised edits, or legal/trademark issues
The Client is responsible for checking final files before use, print, publication, or production.
15. Portfolio and Promotional Use
Unless otherwise agreed in writing before the project begins, Z4Web reserves the right to display completed logo work for:
Portfolio presentation
Website showcases
Social media promotion
Marketing and advertising
Case studies
If the Client requires strict confidentiality or a non-disclosure arrangement, this must be requested and agreed in writing prior to project commencement.
16. Additional Services
This Agreement covers logo design only unless expressly stated otherwise.
The following services, if required, are separate and may incur additional fees:
Brand guidelines
Social media profile graphics
Business cards or stationery
Website branding assets
Logo animation
Alternative logo versions
Favicon creation
Print-ready artwork
Trade mark guidance (non-legal, informational only)
Further revisions after final approval
17. Force Majeure
Z4Web shall not be held liable for delays or failure to perform services due to events beyond reasonable control, including but not limited to:
Internet outages
Software or hosting issues
Illness
Natural events
Power failures
Third-party service interruptions
Other unforeseen circumstances
In such cases, reasonable efforts will be made to resume the project as soon as practicable.
18. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
Any disputes arising under or in connection with this Agreement shall be subject to the jurisdiction of the courts of England and Wales.
19. Acceptance of Agreement
By purchasing, commissioning, or making payment for logo design services from Z4Web, the Client confirms that they:
Have read and understood this Agreement
Agree to these terms in full
Authorise Z4Web to begin work based on the agreed brief
